5.3 Service Deliverables

Ownership of deliverables created during service engagements will be determined by the applicable service agreement. Unless otherwise specified, custom work product is assigned to the Client upon full payment.

6. User Obligations and Acceptable Use

7.2 AI Limitations

You acknowledge that:

  • AI tools may produce inaccurate, incomplete, or biased outputs.
  • AI-generated content should be reviewed by qualified professionals before reliance or implementation.
  • AI models may have limitations based on their training data and architecture.
  • Performance of AI systems may change over time as models are updated.

7.3 Data Processing in AI Tools

7.4 Responsibility for Outputs

8. Payment Terms

  • Fees for services will be set out in individual service agreements, proposals, or invoices.
  • Unless otherwise agreed, payment is due within 14 days of invoice date.
  • All prices are quoted in EUR unless otherwise specified and are exclusive of VAT (which will be added where applicable).
  • Late payments may incur interest at the rate permitted under Lithuanian law.
  • We reserve the right to suspend services if payments are overdue by more than 30 days.

9. Limitation of Liability

To the maximum extent permitted by applicable law:

  • Our total liability to you for any claims arising out of or related to these Terms or our services shall not exceed the total fees paid by you to us in the 12 months preceding the claim.
  • We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, business opportunities, or goodwill.
  • We are not liable for any losses resulting from your reliance on AI-generated outputs.
  • We are not liable for any service interruptions, delays, or failures beyond our reasonable control (force majeure).

Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, fraud, or any other liability that cannot be excluded under applicable law.

10. Indemnification

You agree to indemnify, defend, and hold harmless evoiq and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from:

  • Your violation of these Terms.
  • Your use of our services or AI tools.
  • Your infringement of any third-party rights.
  • Any content or data you submit through our services.

11. Termination

These Terms are governed by and construed in accordance with the laws of the Republic of Lithuania, without regard to its conflict of law principles.

  2. Mediation: If negotiations fail, the parties may agree to mediation administered by a qualified mediator in Vilnius, Lithuania.
  3. Litigation: If mediation fails or is not agreed upon, disputes shall be submitted to the competent courts of the Republic of Lithuania.

14. Severability

These Terms, together with our Privacy Policy, Cookie Policy, and any applicable service agreements, constitute the entire agreement between you and evoiq regarding the use of our website and services. They supersede all prior agreements, understandings, and communications.

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. A waiver of any term shall not be deemed a waiver of any other term.
