Ownership of deliverables created during service engagements will be determined by the applicable service agreement. Unless otherwise specified, custom work product is assigned to the Client upon full payment.

8. Payment Terms

- Unless otherwise agreed, payment is due within 14 days of invoice date.
- All prices are quoted in EUR unless otherwise specified and are exclusive of VAT (which will be added where applicable).
- Late payments may incur interest at the rate permitted under Lithuanian law.
- We reserve the right to suspend services if payments are overdue by more than 30 days.

9. Limitation of Liability
To the maximum extent permitted by applicable law:
- Our total liability to you for any claims arising out of or related to these Terms or our services shall not exceed the total fees paid by you to us in the 12 months preceding the claim.

- We are not liable for any losses resulting from your reliance on AI-generated outputs.
- We are not liable for any service interruptions, delays, or failures beyond our reasonable control (force majeure).

10. Indemnification
You agree to indemnify, defend, and hold harmless evoiq and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from:

- Your infringement of any third-party rights.

11. Termination

- Litigation: If mediation fails or is not agreed upon, disputes shall be submitted to the competent courts of the Republic of Lithuania.

14. Severability
